1. Agreement

By using this website or any service from The Nexel Group, you agree to these terms. If you don't agree, please don't use the site.

2. Services

We provide AI consulting, custom development, and a suite of AI products. Specific deliverables and timelines for paid engagements are documented in a Statement of Work (SOW).

3. Acceptable use

You may not use this site or our products to: violate any law; infringe IP; transmit malware; attempt unauthorized access; scrape data at scale; or use outputs to harm others.

4. Intellectual property

The website and all content (excluding client materials) are owned by Nexel. For paid engagements, client work products are assigned to the client per the SOW.

5. Fees & payment

Fees, schedules, and refund terms are specified in each SOW. Default payment terms: net-15 from invoice date.

6. Warranties & disclaimers

We perform services with professional skill and care. The website and free-tier products are provided "as is" without warranty. For paid services, warranties are defined in the SOW.

7. Limitation of liability

To the maximum extent permitted by law, Nexel's aggregate liability under any engagement is limited to the fees paid under the relevant SOW in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

8. Indemnification

Each party will indemnify the other for third-party claims arising from its breach of these terms or applicable law.

9. Termination

Either party may terminate for material breach uncured after 30 days' notice. Termination provisions for paid engagements are in the SOW.

10. Governing law

These terms are governed by the laws of the State of Delaware, United States. Disputes will be resolved in Delaware state or federal courts.

11. Changes

We may update these terms; the date at the top will reflect the most recent change.
